Welcome to Learn 360, a cloud-based Learning Management System (“Learn 360”, “Platform”, “Service”) operated by Edutain360, LLC, a Delaware limited liability company with its principal office at 2950 Motlow Creek Rd, Campobello, SC 29322, United States (“Edutain360”, “Company”, “we”, “our”, or “us”).
These Terms of Service (“Terms”) govern your access to and use of Learn 360, including our website located at learn-360.com.
By creating an account, accessing, or using the Services, you agree to be legally bound by these Terms. If you are using Learn 360 on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree with these Terms, you must not use the Services.
1. Eligibility
To use Learn 360, you must:
- Be at least 18 years old or the legal age required in your jurisdiction to enter into a binding agreement;
- Have the legal authority to accept these Terms; and
- Use the Services in compliance with all applicable laws.
If an Organization provides courses to minors, the Organization or parent/guardian is responsible for obtaining any required consent and supervising the minor's use of the Services.
2. The Services
Learn 360 is a Software-as-a-Service (SaaS) Learning Management System that enables Organizations to:
- Create online courses
- Manage learners
- Deliver training
- Track learner progress
- Issue certificates
- Generate reports
Organizations are solely responsible for the content they upload and distribute through Learn 360.
3. Accounts
You are responsible for:
- Providing accurate information;
- Maintaining the confidentiality of your login credentials;
- Restricting unauthorized access to your account; and
- Promptly notifying us if you believe your account has been compromised.
You are responsible for all activity that occurs under your account unless caused by our negligence.
4. Organization Accounts
Organizations may designate one or more Administrators to manage their workspace.
Organization Owners are responsible for:
- Managing subscriptions;
- Adding and removing Administrators;
- Managing Learners;
- Ensuring their users comply with these Terms; and
- Maintaining the security of their Organization account.
Organizations are responsible for all activity occurring within their workspace.
5. Free Plan
Learn 360 offers a free plan. The free plan does not require a payment card, and you will not be charged for it.
The free plan does not automatically convert into a paid subscription. You will only be charged if you actively choose to upgrade to a paid subscription and provide a valid payment method. We may modify, limit, or discontinue the free plan at any time.
6. Subscription Plans, Billing & Auto-Renewal
Certain features of Learn 360 require a paid subscription.
Paid subscriptions are offered on a monthly or annual basis and are billed in advance in U.S. dollars (USD), according to the pricing plan selected during purchase. Prices are exclusive of any applicable taxes, which may be added where required.
Auto-renewal. Your subscription automatically renews at the end of each billing period (monthly or annual) at the then-current price, and the payment method on file will be charged automatically, unless you cancel before the renewal date. By subscribing, you authorize us and our third-party payment processor to charge your payment method on a recurring basis until you cancel.
Renewal reminder. For annual subscriptions, we will send you a reminder by email before your subscription renews, where required by applicable law.
Payment processing. Payments are processed securely by a third-party payment processor. We do not store your full payment card number, security code, or banking credentials on our systems.
Price changes.We may change subscription prices from time to time. Where a change affects your renewal price, we will provide at least 30 days' advance notice by email or in-app, and the new price will apply from your next renewal.
Failed payment. If a payment fails or subscription fees remain unpaid, we may suspend or downgrade your access to paid features until the amount owed is paid.
Cancellation. You may cancel your subscription at any time from your account settings, or by contacting support@learn-360.com. Following cancellation, access to paid features continues until the end of the current billing period, after which the subscription will not renew and your account may revert to the free plan.
Professional services.We offer an optional one-time “Done-for-you” setup service for $100, arranged with our team and invoiced separately from subscription fees. Setup fees are refundable if the service has not yet been performed, and non-refundable once the setup has been delivered.
7. Refunds & Cancellation
30-Day Money-Back Guarantee. If you are not satisfied with a paid subscription, you may request a full refund of your first subscription payment within thirty (30) days of your initial paid charge by contacting support@learn-360.com.
After the first 30 days, subscription fees are non-refundable, and we do not provide refunds or credits for partially used subscription periods, downgrades, or unused time, except where required by applicable law.
Consumer rights. If you are a consumer in the European Union, the United Kingdom, or another jurisdiction that grants a statutory right of withdrawal or cooling-off period (typically 14 days), those rights apply in addition to the guarantee above, to the extent required by law.
This section applies to subscription fees you pay to Learn 360. Refunds for courses sold by an Organization to its own learners are governed by Section 8 and are the responsibility of that Organization.
8. Payments Between Organizations and Their Learners
Organizations may choose to sell courses or charge their learners by connecting their own third-party payment provider to the Platform. In those cases:
- The transaction is solely between the Organization and its learner. Learn 360 is not a party to that transaction and is not the merchant of record.
- Learn 360 does not receive, hold, or control those payments, and does not issue refunds for them. Such payments are processed entirely through the Organization's own payment provider and settle to the Organization's own account.
- The Organization is solely responsible for pricing, course delivery, refunds, cancellations, disputes, chargebacks, and any taxes related to sales to its learners.
- The Organization is responsible for complying with the terms, rules, and applicable card-network requirements of its own payment provider, including maintaining and clearly disclosing its own refund or cancellation policy to learners at the time of purchase.
- Learners with billing questions or refund requests for a course should contact the Organization that sold it, not Learn 360.
This section applies only to payments between Organizations and their learners. Subscription fees that Organizations pay to Learn 360 are governed by Sections 6 and 7.
9. Customer Responsibilities
Organizations are responsible for:
- All content uploaded to Learn 360;
- The legality of their courses;
- Obtaining any required consents from learners;
- Managing learner accounts;
- Ensuring compliance with applicable laws;
- Maintaining the accuracy of their data.
Organizations remain the owners of their course content and learner information.
10. Learner Responsibilities
Learners agree to:
- Use the Services only for authorized learning purposes;
- Protect their account credentials;
- Respect the intellectual property rights of Organizations;
- Follow any rules established by their Organization.
Learners understand that their Organization controls their enrollment, learning records, certificates, and course access.
11. Acceptable Use
You agree not to:
- Violate any applicable law;
- Upload malicious software or harmful code;
- Attempt unauthorized access to any account or Organization;
- Reverse engineer, copy, or exploit the Services except as permitted by law;
- Interfere with the operation of Learn 360;
- Upload content that infringes intellectual property rights;
- Use the Services for fraudulent, abusive, or unlawful purposes;
- Circumvent security measures or access restrictions.
We reserve the right to investigate violations and suspend or terminate accounts where appropriate.
12. Prohibited Businesses and Content
You may not use Learn 360, or connect a payment provider through it, to offer, promote, or sell any of the following, except where expressly permitted by us in writing and by all applicable laws and payment-network rules:
- Illegal goods or services, or content that facilitates illegal activity;
- Adult content or services, or sexually explicit material;
- Gambling, betting, lotteries, or games of chance;
- Firearms, weapons, ammunition, or explosives;
- Illegal or regulated drugs, controlled substances, or related paraphernalia;
- Pyramid schemes, multi-level marketing, or “get-rich-quick” and deceptive earnings schemes;
- Counterfeit goods or goods that infringe intellectual property rights;
- Unlicensed financial, investment, credit-repair, or money-transmission services;
- Hate speech, harassment, or content that promotes or incites violence;
- Malware, phishing, or other content designed to defraud or harm.
We may remove content, and suspend or terminate accounts, that we reasonably believe violate this section. Your own payment provider may also impose its own list of restricted or prohibited businesses, and you are responsible for complying with it.
13. Intellectual Property
Learn 360, including its software, design, branding, logos, documentation, and related technology, is owned by Edutain360, LLC or its licensors and is protected by applicable intellectual property laws.
These Terms do not transfer ownership of our intellectual property to you.
You receive only a limited, non-exclusive, non-transferable license to use the Services during your subscription.
14. Customer Content
Organizations retain ownership of:
- Courses
- Videos
- Documents
- Images
- Assessments
- Certificates
- Learning materials
- Uploaded files
By uploading content, you grant Learn 360 a limited worldwide license to host, store, process, display, and transmit that content solely as necessary to provide the Services.
You represent that you have all necessary rights to upload your content.
15. Copyright & DMCA Policy
We respect intellectual property rights and expect our users to do the same. If you believe content on Learn 360 infringes your copyright, you may send a notice to support@learn-360.com that includes:
- Identification of the copyrighted work you claim has been infringed;
- Identification of the material you claim is infringing, with enough detail for us to locate it;
- Your contact information;
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and
- Your physical or electronic signature.
We will respond to valid notices as required by applicable law, may remove or disable access to allegedly infringing material, and may terminate the accounts of repeat infringers.
16. Privacy
Our collection and use of personal information is governed by our Privacy Policy.
By using Learn 360, you acknowledge that personal information will be processed in accordance with that Privacy Policy.
17. Third-Party Services
Learn 360 may integrate with third-party services, including payment processors and customer communication platforms.
Those services are governed by their own terms and privacy policies.
We are not responsible for the practices, availability, or content of third-party services.
18. Service Availability
We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation.
We may:
- Perform maintenance;
- Update the platform;
- Modify features;
- Improve security;
- Temporarily suspend access when necessary.
We will make reasonable efforts to minimize disruptions.
19. Suspension and Termination
You may stop using Learn 360 at any time.
We may suspend or terminate accounts if:
- These Terms are violated;
- Required by law;
- Fraud or abuse is suspected;
- Subscription fees remain unpaid;
- Continued access presents a security risk.
Where we reasonably suspect fraud, abuse, misuse of the Platform, or activity that threatens the security or integrity of the Services or other users, we may suspend or terminate your account and cancel your subscription immediately and without prior notice.
Following termination, we may disable access to the Services and process data according to our Privacy Policy.
20. Data Retention
Deleted accounts enter a 30-day recovery period during which they may be restored.
After the recovery period, information is permanently removed from active systems.
Encrypted backups may retain deleted information for up to 30 additional days before automatic removal.
21. Disclaimer of Warranties
Learn 360 is provided on an “AS IS” and “AS AVAILABLE” basis.
To the maximum extent permitted by law, Edutain360, LLC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
We do not guarantee that:
- The Services will be uninterrupted;
- The Services will always be error-free;
- Every defect will be corrected; or
- The Services will meet every customer's individual requirements.
22. Limitation of Liability
To the fullest extent permitted by law, Edutain360, LLC shall not be liable for any:
- Indirect damages;
- Consequential damages;
- Special damages;
- Incidental damages;
- Loss of profits;
- Loss of revenue;
- Loss of goodwill;
- Loss of business opportunities;
- Loss of data.
Our total liability arising out of or relating to the Services shall not exceed the total subscription fees paid by you to Learn 360 during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
23. Indemnification
You agree to defend, indemnify, and hold harmless Edutain360, LLC, its officers, employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:
- Your use of the Services;
- Your content;
- Your sale of courses or other products to your learners;
- Your violation of these Terms;
- Your violation of applicable law; or
- Your infringement of another person's rights.
24. Changes to the Services
We may modify, improve, discontinue, or replace any feature of Learn 360 at any time.
Where reasonably practical, we will provide advance notice of material changes.
25. Changes to These Terms
We may revise these Terms from time to time.
When material changes are made, we will update the “Last updated” date and provide notice where required by law.
Continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.
26. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any dispute arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, unless applicable law requires otherwise.
27. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
28. Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between you and Edutain360, LLC regarding the Services.
